kokabu has not yet gone live. This document outlines our intended position pending counsel review. The final form will be issued before any investor is onboarded.
These Terms of Service (the Terms) govern your access to and use of the kokabu platform operated by kokabu (we, us, our). By creating an account, joining the waitlist, or using any part of the platform, you agree to be bound by these Terms.
1. Eligibility
You may use the platform if you are at least 18 years old, of legal capacity in your jurisdiction, and not a United States person. Investment functionality is restricted to accredited investors as defined by MAS under Section 4A of the Singapore Securities and Futures Act and equivalent definitions in eligible jurisdictions.
We reserve the right to refuse service or terminate any account that does not meet eligibility requirements, fails identity verification, or appears on any sanctions or watchlists.
2. Your account
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must use a strong password, enable two-factor authentication before making any investment, and notify us immediately of any suspected unauthorized access.
You agree to provide accurate, current, and complete information during registration and to keep that information up to date. Submitting false or misleading information is grounds for immediate suspension.
3. Identity verification and AML
Before you may invest, you must complete identity verification (KYC) and accreditation checks. We use Didit and other compliance partners to verify identity, screen against sanctions and politically exposed persons lists, and assess source of funds.
We may request additional information at any time to comply with anti-money laundering and counter-terrorism financing obligations. You agree to cooperate with such requests.
4. Platform services
The platform allows accredited investors to browse, evaluate, and invest in fractional ownership of real estate held by Special Purpose Vehicles. Tokens representing your ownership are issued on the Polygon blockchain using the ERC-3643 (T-REX) standard.
We provide the infrastructure for issuance, custody, compliance, distributions, and reporting. We do not act as your financial adviser, broker-dealer, or fiduciary. We do not provide investment, tax, or legal advice.
5. Fees
Investors do not pay transaction fees at the point of investment. A flat fee may apply to withdrawals to external bank accounts. Foreign currency conversion is subject to spread.
Annual management fees are paid by the sponsor (asset owner) of each deal and are disclosed transparently on each deal page. Full pricing detail is published on the sponsor pricing page.
6. Risks
Investing in tokenized real estate involves significant risk including loss of capital and illiquidity. Please read the Risk Disclosure in full before making any investment.
7. Acceptable use
You agree not to:
- Use the platform for any unlawful, fraudulent, or deceptive purpose.
- Attempt to circumvent identity verification, accreditation requirements, or country eligibility checks.
- Reverse-engineer, scrape, or otherwise access the platform other than through provided interfaces.
- Interfere with the integrity or security of the platform or any user account.
- Use the platform to launder funds, evade sanctions, or finance prohibited activities.
- Misrepresent your identity, residency, or eligibility.
8. Intellectual property
All content, code, branding, and design on the platform (other than user-submitted content and third-party open-source components) is owned by kokabu or our licensors. You are granted a limited, revocable, non-transferable license to use the platform for the purposes of evaluating and investing in opportunities listed by us.
9. Suspension and termination
We may suspend or terminate your access at any time for breach of these Terms, suspected fraud, sanctions exposure, or any other reason permitted by law. Active investments will continue to be settled according to their terms, subject to applicable compliance and legal requirements.
10. Liability
To the maximum extent permitted by law, kokabu is not liable for indirect, incidental, consequential, or special damages, including loss of profits, revenue, or data. Our total aggregate liability to you in any 12-month period will not exceed the fees we have collected from you in that period or S$1,000, whichever is greater.
Nothing in these Terms excludes or limits our liability for fraud, willful misconduct, or any liability that cannot lawfully be excluded.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified to you by email and via the platform. Continued use of the platform after the effective date of any change constitutes acceptance.
12. Governing law
These Terms are governed by the laws of Singapore. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the Singapore International Commercial Court, save for any rights you may have under mandatory consumer protection rules in your jurisdiction of residence.
